Licensing Agreement
By purchasing or using any deliverables created by NSIFY, the client agrees to the terms of this Licensing Agreement.
1. Grant of License
Upon full and final payment, NSIFY grants the client a limited, non-exclusive, non-transferable license to use the final deliverables solely for their intended business or personal purpose.
This license allows the client to:
• Use the website, design, or digital asset for their own brand or business
• Display and promote the work publicly
• Modify the content for their internal use (unless otherwise restricted)
2. Ownership of Work
NSIFY retains full ownership of:
• Design concepts, frameworks, layouts, structures, and methodologies
• Source files, templates, reusable components, and development logic
• Any pre-existing or reusable intellectual property used in the project
The client does not receive ownership rights unless explicitly agreed in writing.
3. Restrictions
The client may not:
• Resell, sublicense, or redistribute the deliverables
• Claim authorship or ownership of NSIFY’s underlying work
• Use the deliverables for illegal, misleading, or unethical purposes
• Remove NSIFY credits where such credit is contractually required
4. Portfolio and Promotional Rights
Unless otherwise agreed in writing, NSIFY reserves the right to:
• Display completed work in its portfolio
• Use the work for marketing, proposals, presentations, and social media
• Reference the client name and project description for promotional purposes
5. Third-Party Components
Deliverables may include third-party tools, plugins, themes, fonts, or software subject to their own licenses. The client is responsible for complying with third-party licensing terms and any related fees.
6. Termination of License
This license shall automatically terminate if:
• Payment obligations are not fulfilled
• The client breaches any terms of this Agreement
• The deliverables are misused or redistributed unlawfully
Upon termination, the client must immediately cease using the licensed materials.
7. No Warranty
All deliverables are provided on an “as-is” basis. NSIFY makes no warranties regarding performance, results, compatibility, or suitability for a specific purpose.
8. Limitation of Liability
To the maximum extent permitted by law, NSIFY’s liability under this Agreement shall be limited to the amount paid by the client for the licensed work. NSIFY shall not be liable for indirect or consequential damages.
9. Governing Law and Jurisdiction
This Agreement shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in Nashik, Maharashtra.
10. Modifications
NSIFY reserves the right to update or modify this Licensing Agreement at any time. Continued use of the deliverables constitutes acceptance of the revised terms.
